ElevatorApp Maintenance on Demand

Elevator Service Provider Agreement and Terms of Service

This Elevator Service Provider Agreement (this “Agreement”) governs participation by an elevator service provider (“ESP,” “you,” or “your”) on the Maintenance on Demand platform (“MoD” or the “Platform”), a service of ElevatorApp operated by Jaka LLC (“ElevatorApp,” “we,” “us,” or “our”).

By registering for, being enrolled on, or accepting any job through the Platform, you agree to be bound by this Agreement. If you do not agree, do not use the Platform.

In this Agreement, “Building” means a building owner, property manager, association, or other party requesting service through the Platform. “Job” means a MoD service call for which a Building selects you through the Platform.

Your use of the Platform, whether through the ElevatorApp mobile app or the website, is subject to the ElevatorApp Global Terms and Conditions and the Privacy Policy. Where those terms conflict with this Agreement with respect to your participation as an ESP, the Global Terms and Conditions control. Your use of the Maintenance on Demand module is also subject to the ElevatorApp Software License Agreement.

1. Nature of the Platform

MoD is a technology platform and marketplace software that connects Buildings that need elevator service with independent elevator service providers. ElevatorApp is not a party to any work or contract between you and a Building.

ElevatorApp is not an elevator contractor. ElevatorApp does not perform elevator maintenance, repair, inspection, testing, modernization, or installation; does not employ elevator mechanics; and does not subcontract elevator work.

You are not a subcontractor of ElevatorApp. ElevatorApp is not a general contractor, construction manager, or intermediary contractor on any Job.

You acknowledge that during MoD’s early phase, some steps that will later be automated may be performed manually by ElevatorApp personnel. This Agreement applies either way.

2. Independent Business Relationship

You are an independent business. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship between you and ElevatorApp.

You acknowledge and agree that:

  • You set your own pricing.
  • You decide which requests to respond to.
  • You schedule your own work and dispatch your own personnel.
  • You supply your own tools, vehicles, equipment, and materials.
  • You control the manner, method, and means by which your work is performed.
  • You are solely responsible for your work product, technical judgment, conduct, safety practices, and compliance.
  • You decide what warranty, if any, you offer on your work.
  • You are free to perform work for other customers and through other channels.
  • You have no authority to bind ElevatorApp or Jaka LLC to any contract, warranty, or representation.

Your personnel are your employees or contractors, not ours. You are solely responsible for their wages, benefits, payroll taxes, workers’ compensation, supervision, training, background screening, licensing, and conduct.

Any contract for elevator services arising from a Job is between you and the Building. ElevatorApp is not a party to that contract.

3. Licensing, Insurance, and Credentials

You represent and warrant, on an ongoing basis, that:

  • You hold all elevator contractor licenses, registrations, and permits required by each state and local jurisdiction in which you accept Jobs, and that they are current and in good standing.
  • Every individual performing work on your behalf holds all elevator mechanic licenses, certifications, and qualifications required in that jurisdiction.
  • You maintain all insurance required by law, including general liability and workers’ compensation where applicable, and any coverage required by the elevator authority having jurisdiction.
  • You are properly registered and in good standing as a business entity in each jurisdiction where you accept Jobs.
  • Neither you nor any person performing work on your behalf is subject to any suspension, revocation, disciplinary action, injunction, or debarment affecting your ability to perform.

You certify that the license number and state, license expiration date, insurance carrier, coverage limits, and insurance expiration date you enter are accurate and current. You agree to enter this information on the Platform when you sign up, to keep it current, and to notify MoD in writing immediately, and no later than five (5) business days, if any license, registration, or insurance policy lapses, expires, is suspended, revoked, cancelled, not renewed, or materially changed, or if you become subject to any disciplinary proceeding. You will complete the license and insurance fields on the sign-up form. Whatever you enter is shown to Buildings exactly as entered, including a zero, and any field you leave blank is shown as “Did not provide.” You agree to name Jaka LLC as an additional insured as described in Section 22.

You agree to immediately stop accepting Jobs in any jurisdiction where you are not properly licensed and insured.

MoD does not set minimum insurance limits and does not evaluate whether your coverage is adequate. You enter your own license and insurance information on the Platform. MoD does not review or verify it, and making it available to Buildings is not verification, approval, endorsement, or a warranty of your credentials. It does not relieve you of any obligation to be and remain properly licensed and insured. Your compliance is your responsibility.

4. Display of Your Credentials to Buildings

You acknowledge and agree that the Platform shows the licensing and insurance information you enter, including coverage types and limits, to Buildings before they select a provider, so that each Building can decide for itself whether your credentials and coverage are acceptable for its property.

You consent to this display and represent that the information you enter is accurate and current. You understand that a Building may decline to select you based on this information, and that MoD makes no representation to any Building that your coverage is adequate.

5. Onboarding and Profile Information

You agree to provide accurate and complete onboarding information, which may include company information, years in business, workforce size, union or non-union status, service coverage area, rates, credentials, payment details, and tax information, and to keep it current. You are responsible for any consequence of inaccurate or outdated profile information.

You are responsible for designating which of your personnel receive Job notifications and which may view financial information. Technicians assigned to a Job may be given access to Job and work documentation without access to payment amounts.

In-app messages. Technicians assigned to a Job send in-app messages to the Building. Your office personnel may read those messages but may not send them. In-app messages are stored by MoD, and MoD may review them. You are responsible for monitoring Platform alerts and notifications.

6. Job Notification, Acceptance, and Commitment

Requests are posted through the Platform. You are under no obligation to respond to any request. If you respond, you submit your own price and availability, which the Building sees before it chooses a provider. MoD does not guarantee any volume, frequency, or value of Jobs, and does not guarantee exclusivity in any territory.

Once a Building selects you for a Job, you are committed to it. Your response and the Building’s selection constitute your agreement to:

  • Assign a properly licensed and qualified technician;
  • Arrive within the arrival window shown on the Platform;
  • Communicate promptly through Platform channels if you are delayed; and
  • Perform the accepted scope in a workmanlike manner in accordance with applicable codes, standards, and safety laws.

You are responsible for confirming that you are properly licensed for the jurisdiction and qualified for the equipment described before responding to a request. If you determine after you are selected that you are not qualified or licensed for the work, notify MoD immediately.

7. On-Site Requirements and Documentation

For every Job, you agree to complete the documentation steps required by the Platform, which may include:

  • Checking in on arrival, with a photograph, timestamp, and location;
  • Notifying the Building when en route and on arrival;
  • Documenting equipment condition and work performed with photographs and written notes;
  • Documenting any additional issues identified, with supporting photographs;
  • Checking out on completion with a completion photograph, a written summary of work performed, any recommendations, and the resulting equipment status; and
  • Documenting any good faith access attempt where you cannot access the site.

You represent that all documentation, photographs, timestamps, statements, and reports you submit are truthful, accurate, and contemporaneous, and that photographs depict the actual equipment and conditions at the Job site.

Your check-out marks the service call completed and starts the Building’s two (2) hour window to confirm it. Falsified, staged, recycled, or misleading documentation, or checking out on a Job you did not perform, is fraud, is a material breach of this Agreement, and is grounds for immediate deactivation and recovery of amounts paid.

You acknowledge that documentation submitted through the Platform may be transferred into ElevatorApp and used by the Building for maintenance recordkeeping.

8. Pricing

You set your own pricing. MoD does not set, negotiate, or review your prices, but MoD may add its own service fee to your price when it is shown to Buildings, and you receive the price you submit. You agree that:

  • Pricing you provide to MoD, including standard rates, after-hours or emergency rates, and additional work guidelines, is accurate and will be honored for Jobs accepted through the Platform.
  • You will not quote one price through the Platform and charge the Building a different price for the same work.
  • You will not bill the Building directly for a MoD service call, and you will not accept payment from the Building outside the Platform for that service call.
  • You will not use artificially low pricing to obtain a Job and then rely on additional work to recover margin.
  • You will notify MoD of pricing changes in advance. The price you submit when you respond to a request governs that Job.
  • You will state what your service call price covers when you respond to a request.

You are solely responsible for ensuring your pricing complies with applicable law, including any price gouging statute in effect during a declared emergency.

9. Additional Work Is Outside MoD

If you identify work beyond the service call, you may give the Building a separate price for that work, and you must document the issue through the Platform with supporting photographs. That work must not be performed until the Building authorizes it. Any contract for additional work, and any payment for it, is solely between you and the Building and takes place outside MoD. MoD takes no fee on additional work, has no role in contracting for, paying for, scheduling, or supervising it, although MoD may keep records of recommendations and declinations, and does not guarantee that you will be offered any additional work. The Building may accept your price, ask you to do the work now, decline, or get other bids by submitting a new request through MoD, which carries its own request fee paid by the Building.

The Building may authorize some items and decline others. You agree to honor partial authorizations, to observe the on-site wait period shown on the Platform while the Building decides, and to document any declination and your departure.

10. Parts and Return-Visit Work Are Contracted Directly

If the work requires ordering parts or a return visit, that work is outside MoD.

You agree that:

  • You quote that work directly to the Building, and any agreement for it is solely between you and the Building, on whatever payment, deposit, scheduling, and warranty terms you and the Building agree.
  • MoD does not collect payment for that work, does not hold any deposit, does not advance funds for parts, does not set or review its price, does not manage its schedule, and has no involvement in it.
  • You are solely responsible for your own credit risk, deposit terms, parts sourcing, lead times, and collection on that work.
  • MoD has no responsibility and no liability for that work or for any dispute arising from it.

Section 15 does not prevent you from contracting directly with a Building for additional work, parts, or return-visit work identified during a MoD service call. That is the expected path for such work.

11. Payment

Setup. You must complete payment onboarding, including bank account or payment processor enrollment and a completed IRS Form W-9 or other required tax documentation, before receiving payment.

How Buildings pay. The Building stores a payment method when it submits a request and is charged a nonrefundable $25 request fee when it posts the request. That fee belongs to MoD, and you do not pay it. When the Building selects you, it is charged your service call price, which is shown to the Building before it pays and includes any MoD service fee. Stripe holds that payment. It is not held by ElevatorApp. Any card processing charge is paid by the Building where the law allows it, and otherwise by ElevatorApp.

Release of payment. Stripe releases your amount to you when the Building confirms the service call, or automatically two (2) hours after you mark the service call completed, whichever happens first. The Building cannot stop the release, and MoD does not provide a hold or an internal dispute process for the service call payment. Release means MoD instructs Stripe to release your amount to you. When the funds reach your bank depends on Stripe and your bank.

If you do not show up. If a Building selects you and you do not show up, the held payment is returned to the Building, the request is re-posted to other ESPs, you are not paid, and you are dropped from the Platform as described in Section 13.

If the Building’s payment fails. If the Building’s payment method is declined or unavailable when it posts a request or selects you, the request does not proceed and you are not selected or dispatched. This prevents you from performing work that cannot be paid for.

Amount. You receive the service call price you submitted for the work performed. If MoD adds a service fee, it is added to your price, paid by the Building, and not deducted from your amount. The $25 request fee and any card processing charge are not paid by you. MoD does not currently charge you any fee or commission. MoD may introduce or change provider-side fees, and may change its own fees at any time at its discretion, on notice to you through the Platform or by email. The fees in effect when you are selected for a Job govern that Job.

Payment is not guaranteed by MoD. Stripe holds the Building’s service call payment from the time the Building selects you, which reduces the risk of non-payment on the service call. ElevatorApp does not guarantee, insure, or underwrite payment, does not hold funds, and is not a bank, escrow agent, or fiduciary. You bear the credit risk on additional work, parts, and return-visit work contracted directly with a Building, and any claim for unpaid amounts on that work is between you and the Building.

Holds, offsets, and reversals. MoD may withhold, delay, offset, or reverse a payment where there is a chargeback or payment reversal, a credible allegation of fraud or falsified documentation, a suspected violation of this Agreement, a lapse in your licensing or insurance, or a legal or regulatory requirement. MoD will notify you and, where practicable, allow you to respond. If a Building disputes a charge with its card company, MoD may reverse or recover the related payout to you.

Taxes. You are solely responsible for all federal, state, and local taxes on amounts you receive, including income tax, self-employment tax, sales and use tax, and any employment taxes for your personnel. Jaka or Stripe may collect, report, remit, or withhold amounts when the law requires it. This allocation does not transfer to you any tax duty that belongs to Jaka.

12. Cancellations, Inaccessible Sites, and Rescheduling

Building cancellation. A Building may cancel a scheduled Job more than 24 hours before scheduled arrival, in which case the held service call payment is returned to the Building and you are not paid. Within 24 hours of scheduled arrival, and for any same-day or on-demand request once you have been selected, the service call payment is released to you.

Inaccessible site. If you arrive and cannot access the property or equipment for a reason within the Building’s control, the service call payment is released to you, provided you document your good faith access attempt through the Platform, including photographs, timestamps, and contact records. Release in this circumstance is conditioned on that documentation.

Rescheduling. If a Building requests to reschedule, you may accept or decline through the Platform. If you accept, the reschedule is at no charge to the Building. If you decline, you and the Building will try to agree on a time that works for both of you. If you cannot agree, the Building may cancel and find another ESP, and the held service call payment is returned to the Building. The Building does not pay another request fee to find another ESP for the same request.

Your cancellation. If you cancel a Job you have accepted, you receive no payment for it, and the cancellation counts toward Section 13.

13. Reliability and Deactivation

Buildings rely on providers arriving when committed. MoD does not impose fines, penalties, or deposits. MoD’s remedies for unreliability are warnings, reduced matching priority, suspension, and removal from the Platform. This does not limit MoD’s right to recover amounts lost to fraud or falsified documentation.

MoD may issue a warning, reduce your matching priority, suspend you, or deactivate you where you, without adequate notice or justification:

  • Fail to arrive for an accepted Job;
  • Arrive materially outside the committed arrival window without communicating;
  • Fail to communicate through Platform channels when delayed;
  • Abandon a Job in progress; or
  • Repeatedly cancel accepted Jobs.

MoD will consider documented circumstances beyond your reasonable control. You may respond in writing within ten (10) business days of any suspension or deactivation. MoD’s determination is final, and participation on the Platform is at MoD’s discretion.

No-shows. If a Building selects you for a Job and you do not show up, you will be dropped from the Platform. You may respond in writing within ten (10) business days, as described above.

14. Warranty

MoD does not require you to provide any warranty on your work, and MoD provides none.

Any warranty is whatever you offer or whatever you and the Building agree between yourselves. You are solely responsible for the terms of any warranty you offer and for honoring it. ElevatorApp is not a warrantor, does not guarantee any warranty you offer, and has no obligation to any Building in connection with it.

You agree to state your warranty terms accurately if asked, and not to represent that any warranty is provided, backed, or guaranteed by ElevatorApp or MoD.

15. No Direct Dealing on MoD Service Calls; Site Access

Job order required. You may not perform a MoD service call at a Building’s site without a job order issued through the Platform.

No circumvention. For a period of twelve (12) months following your last Job at a given property, you agree not to solicit or accept service call work or other new work from that property outside the Platform, and not to encourage or assist a Building in circumventing the Platform.

Carve-outs. This Section does not restrict:

  • Additional work, parts, or return-visit work contracted directly under Sections 9 and 10;
  • Work for a Building with which you had an existing, documented customer relationship before your first MoD match at that property;
  • Work obtained through your own independent marketing, bidding, or referral channels that did not originate from a MoD match;
  • A full maintenance agreement or other ongoing contract the Building independently chooses to enter with you; or
  • Emergency response required by law, by an authority having jurisdiction, or to address an immediate risk to life or safety. Notify MoD as soon as practicable.

Masked communications. Communications with Buildings may be routed through masked telephone numbers and the Platform ; calls are not recorded, and MoD keeps call records, such as the date, time, and length of a call. You agree not to attempt to circumvent masked communications for the purpose of dealing outside the Platform on MoD service calls.

Remedy. If you breach this Section, MoD may deactivate your account and pursue any remedy available at law or in equity, including recovery of Platform fees that would have been earned on the circumvented work.

16. Confidentiality and Platform Data

The Platform, including its matching logic, pricing structures, fee models, workflows, provider and Building lists, and any non-public information disclosed to you, is the confidential and proprietary information of Jaka LLC.

You agree not to disclose that information, not to use Platform data for competitive purposes or for solicitation outside the Platform, and not to scrape, reverse engineer, copy, or resell the Platform or its data. You agree to protect Building information you receive and to use it only to perform the Job. These obligations survive termination.

17. Data, Records, and License

You grant ElevatorApp a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to host, store, reproduce, display, and distribute the documentation, photographs, notes, reports, and Job data you submit, for the purposes of operating the Platform, delivering records to the Building, supporting Building recordkeeping, complying with law, and improving the Platform. This license does not override any privacy or deletion right that applies to personal information.

You represent that you have the right to grant this license and that your submissions do not infringe any third-party right. You agree not to capture occupant likenesses, personal information, or confidential building information except as necessary to document the work.

You are responsible for maintaining your own records as required by law, code, and your licensing obligations. Records available through the Platform are not a substitute for your own recordkeeping.

18. Reviews and Ratings

Buildings may rate and review your performance, and you may be permitted to rate Buildings on criteria such as site access and responsiveness. Reviews are subject to moderation and removal at MoD’s discretion. MoD may remove a review for abuse, harassment, privacy violations, unlawful content, or lack of authenticity, and does not remove a review merely because it is negative.

Ratings and reviews may affect your visibility, matching priority, and continued participation. ElevatorApp does not warrant the accuracy of any review and is not liable for any review submitted by a Building, subject to applicable law.

19. Compliance, Codes, and Safety

You agree to perform all work in compliance with applicable law, including all applicable elevator codes and standards, occupational safety requirements, and the requirements of the authority having jurisdiction.

You are solely responsible for identifying and complying with jurisdiction-specific requirements, which vary by state and locality, including permits, notifications, filings, testing protocols, and inspection procedures. You may not rely on MoD to identify what applies in your jurisdiction.

You agree to promptly report to MoD any incident arising from a Job involving injury, entrapment, property damage, a code violation, a regulatory citation, or an insurance claim, and to comply with all applicable employment, wage and hour, and non-discrimination laws.

20. Prohibited Conduct

You may not:

  • Misrepresent your licensing, insurance, qualifications, experience, or identity;
  • Submit falsified, staged, or misleading documentation, photographs, or timestamps, or check out on work not performed;
  • Allow an unlicensed or unqualified individual to perform work requiring a license;
  • Allow another party to use your Platform account;
  • Circumvent the Platform on MoD service calls to avoid fees;
  • Harass, threaten, discriminate against, or endanger any Building, occupant, technician, or other provider;
  • Perform work beyond the authorized scope without authorization;
  • Leave equipment in an unsafe condition without notifying the Building and documenting it; or
  • Use the Platform for any unlawful purpose.

21. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Jaka LLC, ElevatorApp, and their respective affiliates, owners, directors, officers, employees, contractors, and agents from and against any and all claims, demands, lawsuits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Any work you perform or fail to perform, including work contracted directly with a Building;
  • Bodily injury, death, or property damage arising from your work or your personnel;
  • Any code violation, failed inspection, citation, fine, or regulatory penalty arising from your work;
  • Your negligence, gross negligence, or willful misconduct;
  • Any lapse or deficiency in your licensing, insurance, or qualifications;
  • Any claim by your employees or contractors, including any claim of employment, joint employment, misclassification, wages, benefits, or workers’ compensation;
  • Any warranty you offer or fail to honor;
  • Any inaccuracy in the information or documentation you provide;
  • Your breach of this Agreement; or
  • Your violation of any applicable law or regulation,

except to the extent caused by ElevatorApp’s willful misconduct.

22. Insurance

You agree to maintain, at your own expense and at all times during your participation, the insurance required by law and by the authority having jurisdiction, and to keep your insurance information current for display to Buildings under Section 4. You agree to notify MoD in writing before any cancellation, non-renewal, or material reduction in coverage.

You agree to name Jaka LLC as an additional insured on your commercial general liability policy for all Jobs, and to maintain that status for as long as you participate on the Platform. You represent that the endorsement is in place. MoD does not set minimum insurance limits. You will complete the insurance fields on the Platform, including carrier, coverage limits, and expiration date. Buildings see what you enter, including a zero, and see “Did not provide” for anything left blank. They may decline to select you if information is missing or if they find your coverage unacceptable. MoD does not review or verify this information.

23. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform is provided on an “AS IS” and “AS AVAILABLE” basis. ElevatorApp disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

ElevatorApp does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, and makes no representation or guarantee regarding the volume, frequency, value, or profitability of Jobs, the accuracy of any Building-provided information, the creditworthiness or conduct of any Building, or the availability of the Platform in any territory.

24. Limitation of Liability

The liability cap and exclusions in Section 17 of the Global Terms and Conditions apply to this Agreement and to your use of the Platform. No different cap in this Agreement replaces Section 17.

In no event shall Jaka LLC, ElevatorApp, or their respective affiliates, owners, directors, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, business, revenue, goodwill, or data; lost Job opportunities; business interruption; or the acts, omissions, insolvency, or non-payment of any Building, even if advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, the limitations shall apply to the fullest extent permitted by applicable law.

25. Suspension, Deactivation, and Termination

You may stop accepting Jobs and terminate this Agreement at any time on written notice, provided you complete or properly transition all Jobs for which you have already been selected and honor any warranty you have offered.

ElevatorApp may suspend or deactivate your account at any time, with or without notice, including for lapse, suspension, or revocation of licensing or insurance; falsified or misleading documentation; safety violations or unsafe work; fraud or misrepresentation; circumvention of the Platform; repeated reliability failures or complaints; or any breach of this Agreement.

Termination does not relieve you of obligations for Jobs already accepted or performed, warranty obligations you have offered, confidentiality, indemnification, or amounts owed.

26. Force Majeure

Neither party shall be liable for any delay or failure to perform to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, severe weather, pandemics, labor disputes, power or telecommunications failures, acts of government, war, terrorism, supply chain disruption, or the unavailability of third-party services or networks. This does not excuse any payment obligation for work already performed.

27. Governing Law; Jurisdiction and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Disputes are subject to the mandatory arbitration, class action waiver, and jury trial waiver in Section 20 of the Global Terms and Conditions, which apply to this Agreement. For any matter that proceeds in court, any legal action or proceeding arising out of or relating to this Agreement or the Platform shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to the personal jurisdiction of such courts.

28. Changes to This Agreement

ElevatorApp may update this Agreement from time to time. Material changes will be communicated by reasonable means, such as notice through the Platform or by email, with a new effective date. The version in effect at the time you are selected for a Job governs that Job. Your continued use of the Platform after updated terms are presented constitutes acceptance, to the extent permitted by law. If you do not agree to a change, your remedy is to stop accepting Jobs and terminate under Section 25.

29. Severability; Assignment; Entire Agreement; Survival

If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

You may not assign this Agreement without ElevatorApp’s prior written consent. ElevatorApp may assign it in connection with a merger, acquisition, or sale of assets.

This Agreement, together with the ElevatorApp Global Terms and Conditions, the Privacy Policy, and the ElevatorApp Software License Agreement, constitutes the entire agreement between you and ElevatorApp regarding your participation on the Platform and supersedes all prior or contemporaneous understandings, whether written or oral, relating to that subject matter. It does not create any third-party beneficiary rights, except as expressly stated.

The following provisions (among others that by their nature should survive) shall survive termination: Independent Business Relationship, Licensing, Insurance, and Credentials, Payment, Warranty, No Direct Dealing on MoD Service Calls, Confidentiality and Platform Data, Data, Records, and License, Compliance, Codes, and Safety, Indemnification, Disclaimer of Warranties, Limitation of Liability, Governing Law, Jurisdiction and Venue, and this Section.

30. Provider Acknowledgment

By checking the box below, I acknowledge on behalf of the ESP that I have:

  • Read and understood this Agreement, and have authority to bind the ESP to it.
  • Understood that the ESP is an independent business and is not an employee, agent, or subcontractor of ElevatorApp or Jaka LLC.
  • Confirmed that the ESP and all personnel performing work are properly licensed and insured in each jurisdiction where Jobs will be accepted, and agreed to notify MoD promptly of any lapse.
  • Consented to the Platform showing the license and insurance information the ESP enters, including coverage limits, to Buildings before they select a provider.
  • Certified that the license number and state, license expiration date, carrier, limits, and insurance expiration date the ESP enters are accurate and current, and agreed to keep them current and tell MoD when anything changes or expires.
  • Understood that the ESP completes the license and insurance fields on the sign-up form, that Buildings see what is entered, and “Did not provide” for anything left blank, and may decline an ESP whose information is missing, and that the ESP agrees to name Jaka LLC as an additional insured.
  • Understood that MoD does not set minimum insurance limits and does not verify or endorse the ESP’s credentials.
  • Agreed to the pricing rules in Section 8 and to honor pricing quoted through the Platform.
  • Understood that check-out marks the service call completed and starts the Building’s two (2) hour window to confirm, and that falsified documentation is fraud and grounds for immediate deactivation.
  • Understood that the Building’s service call payment is charged when the Building selects the ESP, is held by Stripe, and is released to the ESP when the Building confirms or automatically two (2) hours after the ESP marks the service call completed, and that the Building cannot stop the release, and MoD does not provide a hold or internal dispute process for it.
  • Understood that MoD may add a service fee to the ESP’s price, that the Building pays it along with the $25 request fee and any card processing charge, that the ESP receives the price it submits, and that MoD does not currently charge the ESP any fee but may change fees on notice.
  • Understood that an ESP that is selected and does not show up is dropped from the Platform, the held payment returns to the Building, and the request is re-posted.
  • Understood that technicians send in-app messages, that the ESP’s office may read but not send them, that MoD stores and may review them, and that the ESP is responsible for watching Platform alerts.
  • Agreed to the individual arbitration, class action waiver, jury trial waiver, and limitation of liability in the Global Terms and Conditions.
  • Confirmed that I am using the Platform for the ESP’s business and not for personal, family, or household use.
  • Understood that ElevatorApp does not guarantee payment and does not hold funds, and that the ESP bears the credit risk on additional work, parts, and return-visit work contracted directly with a Building.
  • Understood that additional work, parts, and return-visit work are contracted directly with the Building and are outside MoD entirely, that MoD takes no fee on it, and that MoD does not guarantee any additional work.
  • Understood that MoD does not require any warranty and provides none, and that any warranty offered is the ESP’s own.
  • Understood that MoD imposes no fines or deposits, and that its remedies for unreliability are warnings, reduced matching priority, suspension, and removal from the Platform.
  • Understood that ElevatorApp does not guarantee any volume or value of Jobs.

By clicking “I Agree,” the ESP accepts this Agreement electronically.
